These Terms of Use ("Terms") govern your access to and use of the Facevera mobile application ("App") provided by Veriplus Yazılım Teknolojileri A.Ş. ("Company", "we", "us", or "our"). By downloading, installing, or using the App, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing or using the App, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not use the App.

2. Description of Service

Facevera is an AI-powered professional headshot generator that transforms your photos into professional portraits. The App uses artificial intelligence technology to process your photos and generate styled headshots.

3. License Grant

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the App on a mobile device that you own or control, solely for your personal, non-commercial use.

4. User Accounts

• You may need to create an account to use certain features of the App.
• You are responsible for maintaining the confidentiality of your account credentials.
• You agree to provide accurate and complete information when creating your account.
• You are responsible for all activities that occur under your account.

5. Restrictions

You agree not to:

• Copy, modify, or distribute the App or any part thereof
• Reverse engineer, decompile, or disassemble the App
• Rent, lease, lend, sell, or sublicense the App
• Use the App for any illegal or unauthorized purpose
• Upload photos that you do not have the right to use
• Upload photos of other people without their consent
• Use the App to create deceptive, misleading, or harmful content
• Use generated headshots for fraudulent purposes or identity theft
• Attempt to gain unauthorized access to our systems or networks
• Use the App in any way that could damage, disable, or impair our services
• Use the App to generate inappropriate, offensive, or illegal content

6. User Content and Photos

You retain ownership of the photos you upload ("User Content"). By uploading photos to the App, you:

• Grant us a limited license to process your photos for the purpose of generating headshots
• Represent that you have the right to use and upload the photos
• Represent that the photos do not violate any third party's rights
• Acknowledge that we do not claim ownership of your User Content

7. Generated Content

• You own the AI-generated headshots created through the App.
• You may use the generated headshots for personal and professional purposes.
• We are not responsible for how you use the generated headshots.
• You agree not to use generated headshots for illegal or harmful purposes.

8. Credits and Subscriptions

8.1 Credits

• The App uses a credit-based system for generating headshots.
• Credits are consumable and are used when you generate headshots.
• Purchased credits do not expire.
• Credits are non-transferable and non-refundable except as required by law.

8.2 Payments

• Payment will be charged to your App Store or Play Store account at confirmation of purchase.
• All purchases are processed through Apple App Store or Google Play Store.
• Prices may vary by region and are subject to change.

8.3 Refunds

Refunds are subject to the refund policies of Apple App Store or Google Play Store. We do not directly process refunds. Contact Apple or Google for refund requests.

9. Intellectual Property

The App and its original content, features, and functionality (excluding User Content) are owned by the Company and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

10. Third-Party Services

The App may integrate with third-party services. We are not responsible for the content, privacy policies, or practices of any third-party services.

11. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The App will be uninterrupted or error-free
• Defects will be corrected
• The AI-generated results will meet your expectations
• The quality of generated headshots will be consistent

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THE COMPANY, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

13. Indemnification

You agree to defend, indemnify, and hold harmless the Company and its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debt arising from your use of the App, your User Content, or violation of these Terms.

14. Termination

We may terminate or suspend your access to the App immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination:

• Your right to use the App will immediately cease
• Unused credits will be forfeited
• We may delete your account and associated data

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Turkey, without regard to its conflict of law provisions.

16. Dispute Resolution

Any disputes arising out of or relating to these Terms or the App shall be resolved through binding arbitration in Istanbul, Turkey, in accordance with the rules of the Istanbul Arbitration Center.

17. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. Your continued use of the App after the effective date constitutes acceptance of the revised Terms.

18. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

19. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and the Company regarding the App and supersede all prior agreements and understandings.
